The Official Liquidator v. Nil

SENTHILKUMAR RAMAMOORTHY, J By this application, the Official Liquidator seeks dissolution of M/s.Vellore Electronics and Engineering Private Limited, a company in voluntary liquidation.

2. In support of this application, the Official Liquidator has placed on record a report dated 19.09.2022. In the said report, it is stated that the above mentioned company was placed in members voluntary liquidation pursuant to the special resolution passed on 20.05.2013 and Shri. B. Thamilmani was appointed as voluntary liquidator. The said voluntary liquidator reported to the Official Liquidator that the affairs of the company had been fully wound up and that the final meeting in respect thereof was held on 29.05.2015. The final accounts were also placed before the said meeting. It is also stated that a copy of the final accounts was sent to the Official Liquidator and the same is also attached as Annexure VII to the report.

3. The Official Liquidator states that the final accounts reflect that a sum of Rs.11,67,171/- was realized in course of liquidation and that after 1/3

defraying expenses therefrom and discharging the liability of Rs.9 lacs to creditors, the surplus of Rs.24,782/- was paid to the contributories. The NOCs issued by the Income-tax Department and the Registrar of Companies are annexed as Annexure VIII. The Official Liquidator has stated expressly that the scrutiny of the books of accounts and records do not disclose any reason to conclude that the affairs of the company were conducted against the interest of its members or public interest.

4. Upon taking note of the above report and the annexures thereto, this application is liable to be allowed. Accordingly, this application is allowed and M/s.Vellore Electronics and Engineering Private Limited, a company in voluntary liquidation, is hereby dissolved. The Official Liquidator is directed to complete all necessary compliances in this regard. 14.10.2022 kal 2/3
