The Official Liquidator seeks the dissolution of Sterling Newspaper Private Limited a company in voluntary liquidation.
2. In support of this application, a report dated 20.12.2021 is filed. In the said report, the Official Liquidator states that the above mentioned company was placed in voluntary liquidation pursuant to a special resolution passed on 31.03.2008 and Sri.S.Shanmugam, Chartered Accountant, was appointed as voluntary liquidator. It is further stated that the voluntary liquidator reported to the Official Liquidator that the affairs of the company were fully wound up and the final meeting was held on 02.07.2012. The voluntary liquidator also forwarded a copy of the final accounts to the Official Liquidator and the same is annexed to the Official Liquidator's report as Annexure - 7. As regards assets, the voluntary liquidator has placed a report before the shareholders of the company stating that there 1/3
were no assets or liabilities. The NOC from the Income SENTHILKUMAR RAMAMOORTHY, J.
rna Tax Department was obtained on 27.08.2019 (Annexure - 9) and the NOC from the ROC was obtained on 30.08.2019 (Annexure - 8).
3. The Official Liquidator has stated that the scrutiny of the books of accounts and records of the company do not reveal any reason to conclude that the affairs of the company were being conducted against the interest of the members or public interest.
4. Upon considering the above report and the annexures thereto, there is no impediment to the dissolution of Sterling Newspapers Private Limited.
5. Accordingly, Sterling Newspapers Private Limited, a company in voluntary liquidation, is hereby dissolved. The Official Liquidator is directed to complete all compliances in such regard. 28.10.2022 2/3
