ORDER
Assailing the order passed by the Tribunal holding that the lockout declared by the petitioner is illegal and unjustified with a further direction to reinstate the workmen in service, the present petition has been filed by the petitioner.
2. It is the case of the petitioner that it is engaged in the manufacture of bearings in joint venture with Tamil Nadu Industrial Development Corporation as co-promoter and it started commercial production in the year 1982. The
petitioner was employing around 700 employees. However, due to severe power cut, project cost escalation and labour unrest and other unforeseen problem, the petitioner suffered heavy loss, which exceeded its paid up capital and the company was declared as a sick unit u/s 3 (1)(o) of the Sick Industrial Companies (Special Provisions) Act, 1985 by the Board for Industrial and Financial Reconstruction (for short 'BIFR') vide order dated 19.08.1988. The labour unrest continued even after sanction of scheme by BIFR including physical attack using lethal weapons, culminating in declaration of lockout between 3.2.1992 and 14.7.1992. Thereafter, fresh scheme was sanctioned and the company began its operations and started honouring its obligations to its customers.

It is the further case of the petitioner that during 1999, due to severe setback for the automobile industry, the companies like the petitioner were gravely affected and the petitioner faced difficulties resulting in losses and further during the said period the workmen were also on strike for about six months, resulting in loss of customers and as the manufacturing cost spiralled, the petitioner could not even pay the statutory and contractual dues resulting in stoppage of electricity. BIFR suggested a package but inspite of the same, the
petitioner could not show much progress and, therefore, BIFR passed orders winding up the company in the year 2003. As against the said order, appeal was filed before the appellate authority, which appeal is pending as on the date of existence of the appellate authority. In view of the formation of the National Company Law Tribunal and the enactment of the Insolvency and Bankruptcy Code, all proceedings pending before the appellate authority stood abated and the matters were to be dealt with by the National Company Law Tribunal.

It is the further case of the petitioner that on 9.12.2000, suspension of operation was enforced with effect from 11.12.2000 to 17.12.2000 initially, which was further extended till 16.9.2001 and, thereafter also periodically extended. The suspension was lifted in a phased manner providing work at the instance to about 85% of the workmen and the circulars issued in this regard were accepted by the workmen. Inspite of the same, the workmen raised an industrial dispute in I.D. No.50 of 2004 challenging the suspension of operation.
5. In the year 2005, the suspension of operation was fully lifted and all the workmen were called for work inspite of the fact that there was not sufficient
workload. The financial difficulties persisted resulting in difficulties in disbursement of wages. Inspite of the request made by the petitioner to the workmen, the workmen resorted to strike, thereby paralyzing the functioning of the company and prevented the officers and executives from entering the factory premises and discharging their functions, which resulted in the petitioner having no other option than to declare lockout on and from 9.1.2006. The lockout declared was only on the basis of the aforesaid facts. The said lockout was challenged by the Union, which was referred for adjudication in I.D. No.20/2007.
6. The Industrial Tribunal took up the reference on file and on behalf of the Union W.W.1 was examined and Exs.W-1 to W-100 were marked. On the side of the management/petitioner herein, M.W.s 1 to 3 were examined and Exs.M-1 to M-173. The Tribunal, on the basis of oral and documentary evidence, vide award dated 7.1.2016 held that the workmen did not go on strike and the lockout declared by the petitioner herein is illegal and directed the management to lift the lockout within a period of three months from the date of award and provide employment to the workmen with a direction to the management to pay full
wages from the date of lockout, viz., 9.1.2006. Aggrieved by the same, the present writ petition has been filed.
7. The case of the petitioner unravels from its sickness in the year 1988, through the order of BIFR, when the unit was declared as a sick unit. Thereafter, labour unrest also unfurled leading to violence and physical attack and lockout of the petitioner initially. Thereafter, scheme was formulated and the workmen have also been taken for work based on the revised package of rehabilitation scheme formulated by BIFR, but, the same having not fructified, resulted in the order of winding up of the company, which was challenged before the appellate authority and upon the establishment of the National Company Law Tribunal, the case stood transferred to its board and as on date is said to be pending.
8. The materials available on record further reveals that the workmen were taken on the rolls and almost 85% of the workforce was being employed on rotation basis. However, inspite of the turbulent situation faced by the company, which was within the knowledge of the workmen, dispute was raised and inspite of the company persuading the workmen to cooperate to overcome the
difficulties in the functioning of the company, as the workmen did not yield to the suggestions made by the petitioner, lockout was declared on and from 9.1.2006.
9. A memo has been filed by the petitioner it has been submitted as under:- "4. The Unions have filed a statement stating that out of 524 workmen whom they represent, 55 persons have been gainfully employed. Hence they would not be entitled to backwages or other benefits. They would at best be given gratuity till 09.01.2006. Similarly, 87 employees are not pursuing the dispute as they are not part of any dispute. They may also be considered only for gratuity till 09.01.2006.
5. The total demand of the 3 Unions for 524 employees is Rs.121 Crores. The CITU Union and LPF Union have not included gratuity in their calculations. Have calculated 100% back wages till 31.03.2025 or date of retirement.
6. The offer of the management given its continuous losses more fully described in the affidavit dated 03.04.2025 and that it has already paid Rs.7.23 crores towards various other dues, is as follows :- a. Gratuity Payable to the 161 persons :
Rs.70 Lacs b. Unpaid salaries (payable to 410) :
Rs.1.25 Cr.
c. Retrenchment Compensation :
Rs.4.45 Cr."
10. It is to be pointed out that almost two decades have passed since the declaration of lockout. Pursuant to the award, the writ petition has been filed in the year 2017, which is pending before this Court for about eight years with no light at the end of the tunnel, either to the petitioner or the workmen. A further memo dated 27.6.2025 has been filed by the petitioner along with the statement of the details of the workmen. Pending the lis between the parties, it is borne out by the submissions made by either side that 180 workmen have left for the heavenly abode and it transpires from the aforesaid memo of the petitioner that with regard to about 85 workmen the Union have not raised any claim, while 55 workmen are stated to have been gainfully employed.

The amount computed by the petitioner and the Union for the respective workmen, computed by either side, which is alleged to be payable by the petitioner to the workmen is provided by the parties. The computation in two parts is provided, viz., (i) persons who are surviving till date and (ii) persons, who, pending the litigation as also this writ petition have expired along with the
details of their date of birth, date of entry into service, last drawn wages and the due payable to them.

It is fairly accepted by both the sides that pending the litigation some of the workmen have been gainfully employed, while some of the employees are not pursuing the dispute, which totals to around 140 persons. The balance left at hand, who are agitating the matter is 524 employees who have been pursuing the dispute before the Tribunal.

All the workmen, as stated above, have crossed the age of superannuation and it would be a useless exercise to direct the petitioner to reinstate the workmen, more so, the petitioner company is under the lens of the National Company Law Tribunal, as it has already been wound up by BIFR and an appeal and a rehabilitation scheme is pending consideration of the National Company Law Tribunal and, therefore, at this distant point of time, it would be an exercise in futility to approve the order of the Tribunal ordering reinstatement.

Equally, it should also not be lost sight of that the workmen having not discharged any work since 2006, cannot be given gratis by extending the benefit of backwages, inspite of the order of reinstatement, as the company was declared sick and was under the purview of judicial scrutiny. However, at the same time, the lockout, which has caused detriment to the workmen, who cannot be held to be solely at fault, also should be taken into consideration and they cannot be allowed to suffer without any monetary compensation. Therefore, it becomes imperative for this Court to strike a balance between the company and the workmen while considering the reinstatement of the workmen vis-a-vis payment of lumpsum compensation, towards wages and gratuity, as it is necessary that the interests of either party to the lis requires to be safeguarded.

Though exhaustive arguments were advanced before this Court with regard to the merits of their case, however, when this Court pointed out the above position as existing in the present case, learned counsel appearing for the workmen had placed a working sheet putting forward their case for compensation. Thereafter, the learned counsel appearing for the company submitted a working chart showing the compensation that the company is willing
to pay to the individual workmen as one time compensation in lieu of reinstatement, which would include gratuity and pending salary till 9.1.2006 and submitted that they would not be entitled to any other benefits. It was also submitted that the amounts paid after the award dated 7.6.2016, the petitioner should be allowed to take credit of the same while computing the compensation that is to be paid by the petitioner to the individual workmen.

In the above background, a perusal of the statements submitted by the Union on behalf of the workmen and the petitioner reveal that while the compensation, which the company is willing to pay is on the lower side, the compensation, which the workmen claims is on the higher side. In the backdrop of the above position, this Court has to find out as to what would be the just and reasonable compensation that this Court could fix so that it strikes a balance to both sides. Further, in a stalemate of this nature where reinstatement is not possible, compensation in lieu of reinstatement has been resorted to by the Courts.
17. It would be prudent to refer to the decision of the Apex Court in O.P. Bhandari Vs. Indian Tourism Development Corpn. Ltd. and Ors. (1986 (4) SCC 337 :: MANU/SC/0475/1986), wherein, the Apex Court considering the beneficial aspect in respect of both the employer and the employee and without there being any hard feelings, though it fit to grant compensation in lieu of reinstatement, considering the length of service put in and the attainment of superannuation by most of the persons therein. In this regard, the Apex Court held thus :- "7. So far as the facts of this case are concerned, we are satisfied that this is a fit case for granting compensation in lieu of reinstatement, instead of granting 'reinstatement'.
For, it cannot be said that the apprehension voiced by the respondentCorporation as regards the negative consequences of reinstatement is unreasonable. We do not propose to pronounce on the validity or otherwise of the allegations and counter allegations made by the parties in their respective affidavits. Suffice it to say that the relations between the parties appear to have been strained beyond the point of no return. The Trade Union of the employees has lodged a strong protest and even held out a threat of strike, in the context of some acts of the Appellant.
be detrimental to the larger National interest, not to speak of detriment to the interest of concerned undertaking. We are not impressed by the submission that the Union is virtually a 'company's Union. In any case such disputed questions of facts cannot be resolved in this forum. We are prima facie satisfied that the apprehension is not ill-founded. What is more, reinstatement is perhaps not even in the interest of the appellant as he cannot give his best in the less-than-cordial-atmosphere and it will also result in misery to him, let alone the other side. Neither the undertaking nor the appellant can improve their image or performance, or, achieve success. In fact it appears to us that both sides will be unhappy and miserable. These are valid reasons for concluding that compensation in lieu of reinstatement, and not reinstatement, is warranted in the circumstances of the present case."
18. Yet again, in Workmen and Ors. Vs. Bharat Fritz Werner (P) Ltd. and Ors. (1990 (3) SCC 565 :: MANU/SC/0470/1990), the Apex Court, reiterating the benefits of granting compensation in lieu of reinstatement, taking cue from the decision in Bhandari's case (supra), held as under :- "21. Reinstatement has not been considered as either desirable or expedient in certain cases where there had been strained relations between the employer and the employee, when
the post held by the aggrieved employee had been one of trust and confidence, or when though dismissal or discharge was unsustainable owing to some infirmity in the impugned order, the employee was found to have been guilty of an activity subversive or prejudicial to the interests of the industry (Hindustan Steel Ltd. v. A.K. Roy MANU/SC/0315/1969 : (1970)ILLJ228SC . In cases where it is felt that it will not be desirable or expedient to direct reinstatement the workman is compensated monetarily by awarding compensation in lieu of reinstatement for loss of future employment.

23. In O.P. Bhandari v. Indian Tourism Development Corporation Ltd. and Ors.
MANU/SC/0475/1986 :
(1986)IILLJ509SC this Court has held that compensation equivalent to 3.33 years' salary (including allowances) as admissible on the basis of the last pay and allowances would be a reasonable amount to award in lieu of reinstatement. In that case the Court has taken into consideration the fact that the corpus, if invested at the prevailing rate of interest (15%), will yield 50% of the annual salary and allowances and the workman would get 50% of what he would have earned by way of salary and allowances with four additional advantages :
(i) He will be getting this amount without working. (ii) He can work somewhere else and can earn annually whatever he is worth over and above, getting 50% of the salary he would have earned.
(iii) If he had been reinstated he would have earned the salary upto the date of superannuation (upto 55, 58 or 60 as the case may be) unless he died earlier. As against this 50% he would be getting annually he would get not only beyond the date of superannuation, for his life time (if he lives longer), but even his heirs would get it in perpetuity after his demise. (iv) The corpus of lump sum compensation would remain intact, in any event."

Considering the stand taken by the learned counsel appearing for the company as also the workmen and also taking into consideration the decisions referred to supra, and also turning the attention of this Court to the working charts showing the demand made by the workmen and the compensation which the company is willing to pay and also considering the fact that all the workmen have, by now, reached the age of superannuation and some of the workmen have left for the heavenly abode and it is only the legal heirs, who would be the recipient of the said compensation and further for some of the workmen the Union have not made any claim while a few others are said to have been gainfully employed also not forgetting the fact that the company is still under the scanner of the National Company Law Tribunal and no rehabilitation scheme has
positively been proposed and at this distant point of time no useful purpose would be served in prolonging the matter any further, this court is of the considered view that a lumpsum compensation in lieu of reinstatement, backwages and gratuity, would be in the best interests of either party, as each party could very well proceed in their own way putting an end to the continuous and contiguous litigation.
20. In the aforesaid circumstances, this Court, considering the working sheet submitted by either side, in which the working sheet submitted by the Union reveals a higher amount, while the working sheet submitted by the petitioner fixes a very negligible amount, to strike a balance between the two sides, so that both the sides achieves a win-win situation, taking into consideration the length of service put by each workman till 31.12.2005 from their date of appointment/date of joining the petitioner company, as the petitioner/company went under lockout on 9.1.20065, in lieu of reinstatement, backwages and gratuity, which, at present, would not be payable by the petitioner/company as it is under the radar of the National Company Law Tribunal, to give a quietus to the lis so that the petitioner as well as the workmen
can put an end to the litigation, is inclined to fix a sum of Rs.20,000/- per year of service rendered by each workman from their date of joining till 31.12.2005 and arrives at the amount payable to each workmen as shown in the below tabulated statement :- EMPLOYEES WHO ARE SURVIVING AS ON DATE Amt. 21. Accordingly, the writ petition is disposed of directing the petitioner/company to pay the compensation to the individual workmen who are
surviving and to the legal heirs of the workmen, who are since deceased pending the litigation, as shown in the above two tabular statements, against the names of the respective workmen as compensation in full quit in lieu of their reinstatement, backwages and gratuity within a period of twelve weeks from the date of receipt of a copy of this order. It is further made clear that the aforesaid workmen would not be entitled to any other monetary compensation from the company. In case the amount as directed above is not paid within the period prescribed above, the amount will carry interest at the rate of 6% per annum from 01.01.2006 till the date of payment of the said amount. There shall be no order as to costs.
