The present batch of cases have been filed challenging the orders passed by the Courts and Consumer Forums. Since the issues raised in all these proceedings are common, they have been tagged together. 2.The Urban Co-operative Bank Limited, Madurai is a Co-operative Bank registered under the provisions of the Tamil Nadu Co-operative Societies 54/68

Act, 1983 (in short hereinafter referred to as "the Act, 1983"). The Bank is governed under the provisions of the Act and is under the control of the Registrar of Co-operative Societies. Due to incurring heavy monetary loss, the Bank was ordered to be wound up by the Regional Joint Registrar of Co-operative Societies, Madurai, vide proceedings dated 07.01.2005. Since winding up proceedings are initiated, a Liquidator was appointed. Under these circumstances, the aggrieved depositors have initiated various proceedings including filing Writ Petitions and approached the State Consumer Forum and other forums. Thus, Writ Petitions, Civil Revision Petitions and Writ Appeal have been clubbed together. 3.Some of the Writ Petitions have been instituted challenging the proceedings initiated under the SARFAESI Act.

4.The learned Senior Counsel appearing on behalf of the Urban Co-operative Bank Limited, Madurai would submit that the Liquidator is in the process of settling the claims of creditors and that appropriate actions are initiated to settle all the issues by following the procedures as contemplated under the Act, 1983.

5.The learned Senior Counsel appearing on behalf of the Civil Revision Petitioners would submit that surcharge proceedings initiated under Section 87 of the Act, 1983 are under challenge. After exhausting the remedy contemplated under Section 152 of the Act, 1983, the Civil Revision Petitions have been filed. Hence, the petitioners' interests in the context of liability fixed is also to be protected.

6.Some of the Civil Revision Petitions have been instituted challenging the awards passed by the Consumer Forum, wherein the aggrieved persons had filed complaints and obtained certain orders. If these proceedings are allowed to be decided independently, undoubtedly would result in causing prejudice to the interest of the creditors and other stake holders, who have already been waiting for long years for settlement of their investment and to resolve the issues. Thus, it is relevant to consider the scope of the winding up proceedings and the appointment of a Liquidator under the provisions of the Act, 1983. 7.Section 137 of the Act, 1983 denotes winding-up of registered Societies. In the present case, the competent authority ie.

8.The powers of the Liquidator are enumerated under Section 139 of the Act, 1983. The Liquidator, subject to the control of the Registrar, shall exercise the powers as enumerated under Section 139(2)(a) to (k). Therefore, once the Liquidator assumes charge, he is empowered to deal with all issues relating to the properties, legal proceedings and other disputes between the members and the Society.

9.Section 141 of the Act, 1983, imposes a bar on legal proceedings. Since a Liquidator has been appointed, no legal proceedings can be initiated against the Liquidator in view of the express bar under Section 141 of the Act, 1983. Accordingly, the question of adjudicating the issues on merits in the present proceedings would not arise at all.

10.The High Court, in a writ proceedings, cannot adjudicate the disputed facts, which are to be decided with reference to the documents in original and the evidences available on record. Therefore, deciding the issues between the parties on merits in the present proceedings would do no service to the cause of justice, but the litigants will be forced to again approach the Courts and various Forums which will lead to multiplicity of proceedings and the depositors and other persons may not be in a position to resolve the issues in the manner contemplated under the Act, 1983.

11.Once a special enactment contemplates procedures for winding up of a society, along with powers of the Liquidator and settlement of disputes, then such an authority must be allowed to exercise his/her powers in the manner prescribed and any intervention or obstruction through legal proceedings would result in miscarriage of justice. This exactly is the reason why the legislature thought if fit and imposed an express bar under Section 141 of the Act, 1983. 59/68

12.One of the grounds raised is that surcharge proceedings and the orders passed by the Original Authority under Section 87 of the Act, 1983 and the Appellate order passed under Section 152 of the Act, 1983, require adjudication. In this regard, the Liquidator has to look into the issues and if necessary, consider the issues on merits and take appropriate decisions while settling the claims of depositors and others who have already filed an application before the Liquidator for settlement of their investment etc. Therefore, the Liquidator is required to carry out all acts and perform duties in order to settle the issues by following the procedures as contemplated under Chapter XV of the Act, 1983. 13.

The learned Senior Counsel appearing for the Urban Co-operative Bank Limited would submit that the Liquidator is in the process of settling the issues and the market value of the properties are also improved on account of skyrocketing of real estate market value in the locality. Thus, it may not be difficult for the Liquidator to settle the issues in accordance with the procedures contemplated.

14.Pertinently, Section 138(3) of the Tamil Nadu Co-operative Societies Act, 1983 reads as follows:

"(3) Where an appeal is preferred under clause (a) of subsection (2) of Section 152, an order of winding-up of a registered society made under sub-section (1) of section 137 shall not operate thereafter until the order is confirmed in appeal:

Provided that the liquidator shall continue to have custody or control of the property, effects and actionable claims mentioned in subsection (2) and have authority to take the steps referred to in that subsection." 15.It is not in dispute that the final surcharge order under Section 87 of the Act, 1983 has been confirmed by the Appellate Authority, namely the Principal District Judge/Special Tribunal for Co-operative cases under Section 152 of the of the Act, 1983. Even such circumstances are contemplated under the provisions of the Act. Therefore, it is unnecessary for this Court to deal with the merits, since the Liquidator has to take decision comprehensively and by making all necessary assessments and by following the procedures as contemplated. 61/68

16.Therefore, all the claims are to be raised before the Liquidator appointed under the provisions of the Act, 1983. Since the Liquidator is admittedly in the process of settling the issues and that being the factum, the aggrieved persons are bound to approach the Liquidator for redressal of their grievances. Liquidator is directed to expedite the process, considering that the society was wound up in the year 2005 and the investors have been waiting for over 19 years to recover their investments. It is brought to the notice of this Court that over 1000 depositors are awaiting to get back their invested amounts. Therefore, the Liquidator shall proceed with all further actions and ensure that the claims are settled and issues are resolved, within a period of six months from the date of receipt of a copy of this order. The Liquidator is bound by the procedures as contemplated under Rule 114 of the Tamil Nadu Co-operative Societies Rules, 1988, which provide a comprehensive framework for settlement. 62/68

17.With these directions, all the petitions are dismissed. There shall be no order as to costs. Consequently, connected Miscellaneous Petitions are closed.
