1. The settled legal position in Aneeta Hada v. M/s. Godfather Travels and Tours (2012) 5 SCC 661 is that without criminal proceedings being initiated against the company, it is not possible for the complainant to proceed only against the Director.

2. Accordingly, order dated 21st April, 2015 passed by S.D.J.M., Talcher in ICC Case No.116 of 2012 and all proceedings consequent thereto are hereby quashed.

3. The CRLMC is disposed of. The interim order passed earlier stands vacated.

4. A copy of this order be communicated forthwith to the concerned Subordinate Court.
