(Oral) Vide order dated 14.01.2016, meetings of the Equity Shareholders, Secured and Un-Secured Creditors of the Transferor Company and Secured & Un-Secured Creditors of the Transferee Company were dispensed with. However, meeting of the Equity Shareholders of the Transferee Company was ordered to be held on 28.02.2016 at 11.00 a.m. For the purpose of convening the said meeting, the Chairman and Co-Chairman were appointed by this Court, who held the meeting on the date, time and place fixed by this Court.

In the said meeting, 73 Equity Shareholders of the Transferee Company, entitled together to 39,68,500 equity shares of `10/- each, voted and approved the Scheme of Amalgamation unanimously by 100% in value as well as in number of the equity shareholders who were present through proxies or in person in the said meeting.

The report of the Chairman is taken on record. Thus, the present petition is hereby disposed of. The petitioner is at liberty to file the second motion petition. March 11, 2016 (Rakesh Kumar Jain) vinod* Judge
