Learned counsels for the parties have tendered Consent Terms dated 14th August 2024. Consent Terms are signed by the Director of the Appellant and respondent nos. 1 and 2 in the Second Page no. 1 of 3

Appeal. The Consent Terms are also signed by their respective advocates. The signatories to the Consent terms are present in the court. The signatories admit the terms and conditions of the Consent Terms as well as their signatures on the Consent Terms. The signatories are identified by their respective advocates. 2.

Learned counsel for the appellant submits that the Board Resolution permitting the Director to sign the Consent Terms will be placed on record by 16th August 2024. Learned advocate for the appellant is permitted to submit a copy of the Board Resolution to the Court Sheristedar on Friday i.e. on 16th August 2024. The Consent Terms are taken on record and marked 'X' with today's date for identification.

The terms of the agreement between the parties as recorded in the Consent Terms are legal and valid. Interim Application is disposed of in terms of the Consent Terms. Learned counsel for the appellant on instructions submits that the post-dated cheques referred to in clause 7(a) and the allotment letter as referred in clause 7(e) shall be handed over to the learned advocate for the respondent by 16th August 2024. Statement is accepted. Undertakings in the consent terms are accepted as undertakings to this Court. Parties will be entitled to get a certified copy of the Page no. 2 of 3

Consent Terms.

Considering the agreement between the parties in the Consent Terms, learned counsels for the parties request that the Consent Terms may not be uploaded on the official website of the Bombay High Court and the same be kept in the Court record. In view of the request made on behalf of the parties, office is directed not to upload the Consent Terms.

In view of the settlement between the parties, nothing further survives in the grievance made in the contempt petition. Hence, the Contempt Petition stands disposed of.
