Learned Counsel appearing on behalf of the applicant submits that the applicant was inducted as an additional director in the company at the behest of the informant's husband, who assured higher profits on the applicant's capital investment. Both the applicant and the complainant have resigned from their directorships. The complainant has no locus standi as she held no official or active role in the company during the relevant period. Chitra Sonawane 906-aba-1967-2025.doc aware of the alleged cheating in October 2024 but filed a private complaint before the Court of the Judicial Magistrate First Class, Baramati, on 26 March 2025, subsequent to the applicant's complaint against her husband, indicating malafide intent and retaliation. It is further submitted that the applciant invested Rs.1,26,37,101/- as capital, and Rs.2,44,00,000/- was transferred to the company in July 2024 by accused No.2 pursuant to a distributorship agreement, executed at the applicant's insistence, funded by a loan secured against the applicant's wife's property. The allegations of misrepresentation and cheating are baseless, as the alleged transfer of Rs.2,57,37,000/- represents return of capital and profits legitimately due to the applicant.

Mr Aakash Pandey appearing on behalf of the respondent No.2 seeks time to file reply affidavit. The learned APP also seeks time to take further instructions. 3.

By consent stand over to 3 September 2025. There shall not be any coercive action against the applicant till the next date.
