By the present Report, the Liquidator seeks the following substantive directions:

"a) In view of para (6) of this report, whether this Hon'ble Court may be pleased to dispense with the filing of Misfeasance proceedings by the Official Liquidator as required under section 543 (2) of the Companies Act, 1956, if any; b) In view of para (9) of this report, whether this Hon'ble Court may be pleased to dispense with the filing of Final Accounts by the Official Liquidator as required proviso to Rule 298 of the Companies (Court) Rules, 1959; Kiran Kawre

2/2 12-OLR-101-2025 (OS).DOC c) In view of para (10) of this report, whether this Hon'ble Court may be pleased to dispense with the invitation of claims by the Official Liquidator as required under Rule 148 of the Companies (Court) Rules, 1959; d) In view of para (11) of this report, whether this Hon'ble Court may be pleased to consider it being just and reasonable to order dissolution of the company viz. Blazon Matex Limited under section 481(1) of the Companies Act, 1956 as the Official Liquidator cannot further proceed with winding up of the company for want of funds and assets;

e) In view of para (12) of this report, whether this Hon'ble Court may be pleased to permit the Official Liquidator to preserve the records of the company for five years as per the provisions of section 550 (2) of the Companies Act, 1956 and thereafter destroy the such records;"

After hearing Mr. Sheth, learned counsel for Official Liquidator, at some length, before passing any orders, it is necessary to ascertain as to whether in the year 1993, the Company had any assets and/or creditors. th November 2025 to enable the Official Liquidator 3.

Hence, stand over to 28 to place on record material in support of the contention that the Company in liquidation did not have at any point of time have any assets and/or creditors or other outstanding liabilities.
