The Official Liquidator has, by way of the present Official Liquidator's Report, sought the following directions:

"a) In view of para (14) of this report, whether this Hon'ble Court may be pleased to consider to tag Company Petition No.657 of 1997 with this OLR and hear and decide, if deem fit for ordering winding up of the Company presently in provisional liquidation and thereafter be pleased to consider he it being just and reasonable to order dissolution of the company viz, Chamundi Organics (Private) Limited under section 481(1) of the Companies Act, 1956 as the Official Liquidator cannot further proceed with winding up of the company for want of funds and assets; b) In view of para (11) of this report, and if prayer (a) is in affirmative whether this Hon'ble Court may be pleased to dispense with the filing of Misfeasance proceedings by the Official Liquidator as required under section 543 (2) of the Companies Act, 1956, if any;

c) In view of para (13) of this report and if prayer (a) is in affirmative whether this Hon'ble Court may be pleased to dispense with the filing of Half Yearly Vaibhav

2/2 31-OLR-22-2026.DOC Accounts and Final Account by the Official Liquidator as required under to Rule 298 of the Companies (Court) Rules, 1959; d) In view of para (15) of this report, whether this Hon'ble Court may be pleased to permit the Official Liquidator to preserve the records of the company for five years as per the provisions of section 550 (2) of the Companies Act, 1956 and thereafter destroy the such records;" 2.

Ms. Agrawal has tendered a chart setting out the status of the company in liquidation, the same being extracted below for convenience: Sr.

Ms. Agrawal has further pointed out that pursuant to the order of winding up, the Official Liquidator was appointed as professional liquidator and has since discharged all duties in the capacity of Official Liquidator. 4.

Given the above and the status of the company in liquidation, the Court allows the directions which have been sought. 5.

Having perused the report and having noted above, the report is allowed in terms of prayer clauses (a) to (d).
