The Official Liquidator has by way of the present Official Liquidator Report sought the following directions :- a).
In view of para (7) above, whether this Hon'ble Court may be pleased to forfeit the EMD of Rs.50,000/- deposited by ARSYS 1/4
participation in sale of movable asset of the Company (In Liquidation) lying in the premises situated at Unit No.203/B, Second Floor, VIP Plaza, Veera Industrial Estate, Off. Andheri-Malad Link Road, Andheri (W), Mumbai-400 058 as ARSYS (H1 bidder) failed to comply with the Terms and Condition of Sale which is approved by this Hon'ble Court;
b) In view of para (8) above, whether this Hon'ble Court may be pleased to permit the Official Liquidator to make one more attempt to sell the said movable assets of the Company (In Liquidation) lying in the premises situated at Unit No.203/B, Second Floor, VIP Plaza, Veera Industrial Estate, Off. Andheri-Malad Link Road, Andheri (W), Mumbai-400 058 through e-auction by PSB Alliance Private Limited;
c) In view of para (9) above, whether this Hon'ble Court would be pleased to fix the Reserve Price and EMD of the said movable assets of the Company (In Liquidation) or alternatively permit the Official Liquidator to sell the same at Reserve Price and Earnest Money Deposit (EMD) fixed by this Hon'ble Court vide order dated 14.11.2025 passed in Official Liquidator Report 2/4
No.89 of 2025;
d) In view of para (10) above, in the event that the Official Liquidator receives no offers in the e-auction for the sale of movable assets of the Company (In Liquidation) lying in the premises situated at Unit No.203/B, Second Floor, VIP Plaza, Veera Industrial Estate, Off. Andheri-Malad Link Road, Andheri (W), Mumbai-400 058 this Hon'ble Court may be pleased to permit the Official Liquidator to sell the same as scrap by inviting quotation from local vendors;
e) In view of para (11) above, whether this Hon'ble Court would be pleased to dispense with the publication of the advertisement of sale notice of the said movable assets in the newspapers; 2.
Mr.Hariani points out that since ARSYS had not deposited the balance amount, the Official Liquidation now seeking directions to forfeit the EMD of Rs.50,000/-. 3.
Mr.Hariani in support of his contention, has invited my attention to clause 12 of the terms and conditions of sale, which he submits, specifically provided for forfeiture of the EMD on any default being made. Having heard Mr.Hariani and having perused 3/4
the terms and conditions of sale, which are expressly clear, in my view the Official Liquidator would be justified to the reliefs that have been sought for.

Hence the the Official Liquidator's Report is accordingly disposed of in terms of prayer clauses (a) to (d). 5.
Since the first attempt of sale has failed, the Official Liquidator shall make another attempt on the same terms and conditions.
